Terms and conditions for using our services and platforms

1. Acceptance of Terms

By accessing or using the website adalwin.com, our gifting portals, or engaging with Adalwin Commerce™ LLP for any services, you agree to be bound by these Terms of Use. If you do not agree, please do not use our services.

These terms apply to all clients, vendors, visitors, and users of Adalwin Commerce™ platforms.

2. Services

Adalwin Commerce™ LLP provides:

•Corporate gifting procurement and delivery services
•IT hardware and peripherals procurement
•Branded merchandise and custom printing
•Administrative and office supplies
•Corporate event merchandise and branding
•Digital gifting platforms (GiftSwipe, GiftChoice, TenureGift)

All services are subject to availability, minimum order quantities, and specific terms communicated at the time of order.

3. Orders and Quotes

•All quotes are valid for 7 days unless stated otherwise.
•Orders are confirmed only upon receipt of a Purchase Order (PO) or written confirmation from the client.
•Adalwin Commerce™ reserves the right to decline any order without obligation to provide a reason.
•Prices quoted are exclusive of GST unless explicitly stated.
•For customised or branded merchandise, orders cannot be cancelled once production has commenced.

4. Payment Terms

•Standard payment terms: 100% advance for new clients; 50% advance + 50% before dispatch for established clients.
•Payment terms may be negotiated for clients with a credit history with Adalwin Commerce™.
•All invoices are payable within the due date specified. Late payments may attract interest at 18% per annum.
•GST invoices will be issued for all transactions as per applicable Indian tax laws.
•Adalwin Commerce™ is not responsible for delays caused by delayed payments.

5. Delivery

•Delivery timelines are estimates and are subject to vendor availability, customisation requirements, and logistics conditions.
•Adalwin Commerce™ will communicate expected delivery dates at the time of order confirmation.
•Risk of loss or damage passes to the client upon delivery to the specified address.
•For bulk or pan-India shipments, delivery windows will be communicated separately.
•Adalwin Commerce™ is not liable for delays caused by force majeure events including but not limited to natural disasters, strikes, or government restrictions.

6. Intellectual Property

•All content on adalwin.com including text, images, logos, and product descriptions is the property of Adalwin Commerce™ LLP and may not be reproduced without written permission.
•Client logos, brand assets, and materials shared for customisation purposes remain the intellectual property of the respective clients.
•By sharing brand assets with us, clients grant Adalwin Commerce™ a limited licence to use them solely for fulfilling the ordered services.

7. Confidentiality

Both parties agree to maintain confidentiality of pricing, terms, and business information shared during the course of engagement. Adalwin Commerce™ will not disclose client information to third parties except as required for service fulfilment or as required by law.

8. Limitation of Liability

•Adalwin Commerce™ liability for any claim arising out of a transaction is limited to the value of that specific transaction.
•We are not liable for indirect, incidental, or consequential damages including loss of business, profits, or reputation.
•We are not responsible for the quality of third-party products supplied in line with client-specified brands or models.

9. Governing Law

These terms are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

10. Amendments

Adalwin Commerce™ reserves the right to modify these terms at any time. Updated terms will be posted on this page. Continued use of our services after changes constitutes acceptance.
